1. Acceptance of terms

By creating an account or using ProspectFlow ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service. These terms form a legally binding contract between you and Sajeel Ahmad ("we", "us", "our"), operating ProspectFlow.

2. Description of service

ProspectFlow is a B2B lead generation SaaS platform that enables users to:

  • ▸Discover and score local businesses using Google Places data
  • ▸Conduct automated website audits
  • ▸Send automated cold email sequences via Resend
  • ▸Place AI-powered cold calls via VAPI
  • ▸Generate PDF audit reports and proposals
  • ▸Manage prospects through a CRM pipeline

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using the Service, you represent that you meet these requirements. The Service is intended for business use only — you must use it for legitimate B2B outreach to businesses, not to spam or harass individuals.

4. Subscriptions & billing

  • ▸Free plan: 5 prospect discoveries at no charge. No credit card required.
  • ▸Pro plan: Billed monthly or annually in GBP. Prices are as displayed at the time of purchase.
  • ▸Renewals: Subscriptions auto-renew unless cancelled before the renewal date.
  • ▸Cancellation: Cancel any time from your billing dashboard. Access continues to the end of the paid period.
  • ▸Refunds: We offer refunds within 14 days of initial purchase if you have not used the Pro features. Contact us at sajeel.ahmed@live.com. No refunds are issued for partial billing periods after 14 days.
  • ▸Price changes: We may change prices with 30 days' notice. Continued use after the change constitutes acceptance.

5. Acceptable use

You agree not to use ProspectFlow to:

  • ✗Send unsolicited communications to individuals (consumers) — B2B outreach to businesses only
  • ✗Violate CAN-SPAM, PECR, or any applicable anti-spam laws
  • ✗Scrape, resell, or redistribute data obtained through the Service
  • ✗Attempt to reverse-engineer, hack, or disrupt the Service
  • ✗Use the Service for illegal, fraudulent, or harmful purposes
  • ✗Share your account credentials with others
  • ✗Use automated scripts to abuse the Service beyond normal usage

Violation of these rules may result in immediate account suspension without refund.

6. GDPR & cold outreach compliance

You are responsible for ensuring your use of ProspectFlow complies with applicable data protection laws. When conducting cold outreach:

  • ✓You must include a clear opt-out mechanism in every email (the platform handles this automatically)
  • ✓You must honour unsubscribe requests immediately
  • ✓You must identify yourself accurately as the sender
  • ✓You must only contact business email addresses for B2B purposes

ProspectFlow provides tools to assist compliance (suppression list, GDPR audit trail) but ultimate responsibility for lawful use rests with you.

7. Intellectual property

The ProspectFlow platform, its design, code, and content are the intellectual property of Sajeel Ahmad. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, or create derivative works without express written permission.

Data you input into the Service (prospect notes, custom email copy) remains your property.

8. Service availability & changes

We aim for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice. We are not liable for downtime caused by third-party services (Google, Stripe, Resend, VAPI).

9. Disclaimer of warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the prospect data sourced from Google Places is complete, accurate, or up to date. Results from cold outreach depend on many factors outside our control and are not guaranteed.

10. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data.

11. Termination

Either party may terminate the agreement at any time. You may close your account from the billing dashboard. We may suspend or terminate your account immediately for breach of these terms. Upon termination, your access ends and your data is retained per our Privacy Policy.

12. Governing law & disputes

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us first at sajeel.ahmed@live.com to resolve disputes informally.

13. Changes to these terms

We may update these terms with 30 days' notice via email. Continued use after the effective date constitutes acceptance. If you do not accept the new terms, you must cancel your subscription and stop using the Service.
